TERMS OF SALES

These conditions of sale are concluded on the one hand by the company AEROBACHE, whose head office is located at Lotissement Martinetti, Rue Miniatojo, Route de Mezzavia, 20090 Ajaccio, registered in the Ajaccio Trade and Companies Register under the number B 423 059 104, hereinafter referred to as “SARL unipersonnelle AEROBACHE” and, on the other hand, by any natural or legal person wishing to make a purchase from the company AEROBACHE.

 

Article 1: Purpose and scope

These general conditions of sale (CGV) constitute the basis of commercial negotiations and are systematically sent or given to each buyer to enable them to place an order.

The general conditions of sale described below detail the rights and obligations of the company AEROBACHE and its customer in the context of the sale of its goods.

Any acceptance of a quote implies the buyer’s unreserved acceptance of these general conditions of sale.

The AEROBACHE company retains the possibility of modifying these conditions of sale at any time, in order to comply with any new regulations or in order to improve the use of its site. Therefore, the applicable conditions will be those in force on the date of the order by the buyer.

 

Article 2: Products

The products offered are those which appear on the website www.aerobache.com of the company AEROBACHE, while stocks last. AEROBACHE reserves the right to modify the product assortment at any time.

AEROBACHE takes care to describe the products presented with the greatest precision.

Nevertheless, if errors may have occurred in this presentation, AEROBACHE cannot be held responsible. Photos of the products supporting the text do not fall within the contractual scope. Under no circumstances can AEROBACHE be held liable on the basis of said photos.

The sale of products presented on the site www.aerobache.com is intended for all buyers residing in countries which fully authorize the entry into their territory of these products.

 

Article 3: Price

The prices of our products are indicated in euros, all taxes included in Metropolitan France (VAT and other taxes applicable on the day of the order), unless otherwise indicated and excluding processing and shipping costs.

In the event of an order to a country other than mainland France, you are the importer of the product(s) concerned. Customs duties or other local taxes or import duties or state taxes may be payable. These rights and sums do not fall within the jurisdiction of the AEROBACHE company. They will be your responsibility and are your entire responsibility, both in terms of declarations and payments to the competent authorities and organizations in your country. We advise you to inquire about these aspects with your local authorities.

All orders, whatever their origin, are payable in euros.

The company AEROBACHE reserves the right to modify its prices at any time, but the product will be invoiced on the basis of the price in force at the time of validation of the order and subject to availability.

 

Article 4: Discount

No discount will be granted in the event of early payment.

 

Article 5: Payment terms and Order

Payment for orders is made:

  • Either by bank transfer (Our bank details can be found on your formalized quote)
  • Either by credit card via the website www.aerobache.com
  • Either by check

Payments will be made under the following conditions:

  • Payment of the entire order to plan its production
  • Payment of a deposit of the order to plan its production, then payment of the remainder of the order upon receipt of the goods

 

You can place an order by following the following procedure:

  1. You place an order by email or via our contact form on our website:

 

  • You choose one or more products
  • You request a quote via the online form
  • A return will be made to you via your email address
  • In order to establish a formal quote, you will be asked for your postal address, telephone number and desired protection. We will also need your registration number to affix it to your canopy protection (if necessary).
  • Photos of the device will be requested (in particular for the positioning of handles, mirrors, antennas, winglets, probes).
  • Once you have validated your quote and made your transfer, we put the manufacturing of your order on the workshop schedule. The manufacturing date will be communicated to you at that time.
  • Additional information may be requested (T° probe, antenna, etc.).
  • On the day of shipping, we will communicate the tracking number of the package to you. We ship by Colissimo. We can ship via other providers (Chronopost, DHL, etc.). This is done on request and quote. Your package will be accompanied by your Aerobache invoice.

 

  1. You place an order via our website:

 

  • You search for your device and choose the fabric and types of protection you want.
  • You select whether you have the options present on your device (specific antennas requiring special zipper mounting) as well as your type of attachments.
  • Once you have validated your order and made your payment by credit card on our site, we put the manufacturing of your order on the workshop schedule. The manufacturing date will be confirmed to you at that time by email.
  • Photos of the device will be requested (in particular for the positioning of handles, mirrors, antennas, winglets, probes).
  • Additional information may be requested (T° probe, antenna, etc.).
  • On the day of shipping, we will communicate the tracking number of the package to you. We ship by Colissimo. We can ship via other providers (Chronopost, DHL, etc.). This is done on request and quote. Your package will be accompanied by your Aerobache invoice.

 

The AEROBACHE company reserves the right not to record a payment, and not to confirm an order for any reason whatsoever, and more particularly in the event of a supply problem, or in the event of difficulty concerning the order received.

Confirmation of a quote entails acceptance of these conditions of sale, acknowledgment of having perfect knowledge of them and waiver of the right to rely on one’s own conditions of purchase. All the data provided and the recorded confirmation will constitute proof of the transaction.

 

Article 6: Late payment

In the event of total or partial failure to pay for the goods delivered on the due date, the buyer must pay AEROBACHE a late payment penalty equal to three times the legal interest rate.

The legal interest rate used is that in force on the day of delivery of the goods.

As of January 1, 2015, the legal interest rate will be revised every 6 months (Ordinance No. 2014-947 of August 20, 2014).

This penalty is calculated on the amount including tax of the sum remaining due, and runs from the due date of the price without any prior notice being necessary.

In addition to late payment compensation, any sum, including the deposit, not paid on its due date will automatically result in the payment of a lump sum compensation of 40 euros due for recovery costs. (Articles 441-10 and D. 441-5 of the Commercial Code.)

 

Article 7: Termination clause

If within fifteen days following the implementation of the “Late payment” clause, the buyer has not paid the remaining sums due, the sale will be automatically canceled and may give rise to the right to the ‘allocation of damages for the benefit of the company AEROBACHE.

 

Article 8: Reservation of title clause

The AEROBACHE company retains full ownership of the goods sold until the price has been fully collected, in principal (including fees and taxes) and in accessories. As such, if the buyer is subject to receivership or judicial liquidation, the company AEROBACHE reserves the right to claim, within the framework of the collective procedure, the goods sold and remaining unpaid.

 

Article 9: Delivery

Delivery is made:

  • Either by colissimo shipping (We can ship via other providers on request and quote)
  • Either by direct delivery of the goods to the buyer within our premises

On the day of shipping, we will communicate the tracking number of the package.

The delivery time indicated when registering the order is given for information purposes only and is in no way guaranteed.

Consequently, any reasonable delay in the delivery of the products cannot give rise to the benefit of the buyer:

  • The award of damages
  • Cancellation of the order.

The risk of transport is borne in full by the buyer.

In the event of missing or damaged goods during transport, the buyer must make all necessary reservations on the order form upon receipt of said goods. These reservations must also be confirmed in writing within five days of delivery, by registered mail addressed to the company.

 

Article 10: Withdrawal

Article L121-20 of the Consumer Code is not applicable to our activity. Not being in the context of purchasing via the internet (merchant site), by telephone or by post (sale through printed catalogs received by La Poste) or by fax, the period of fourteen working days to exercise a right of withdrawal does not concern the buyer of our products.

 

Article 11: Warranty

According to articles L. 217-3 to L. 217-32 of the Consumer Code, the legal guarantee of conformity of goods is two years from delivery of the goods. The professional must deliver goods that comply with the contract. (Article L. 217-3 of the Consumer Code).

A good is compliant, according to article L. 217-5, when it corresponds to the description, type, quality and quantity provided for in the contract, and is suitable for the special use sought by the consumer and that it is delivered with the instructions and accessories provided for in the contract.

All products supplied by the AEROBACHE company benefit from the legal guarantee provided for by articles 1641 to 1649 of the Civil Code. In the event of non-conformity of a product sold, it may be returned to the AEROBACHE company which will take it back, exchange it or reimburse it. All complaints, requests for exchange or refund must be made by post to the following address: AEROBACHE – Lotissement Martinetti, Rue Miniatojo, Route de Mezzavia, 20090 Ajaccio, within thirty days after delivery.

 

Article 12: Force majeure

The liability of the company AEROBACHE cannot be implemented if the non-execution or delay in the execution of one of its obligations described in these general conditions of sale results from a case of force major. As such, force majeure means any external, unpredictable and irresistible event within the meaning of article 1148 of the Civil Code.

 

Article 13: Liability

The AEROBACHE company, in the distance selling process, is only bound by an obligation of means. It cannot be held liable for damage resulting from the use of the Internet network such as loss of data, intrusion, viruses, interruption of service, or other involuntary problems.

 

Article 14: Intellectual property

All elements of the site www.aerobache.com are and remain the intellectual and exclusive property of the company AEROBACHE. No one is authorized to reproduce, exploit, or use for any reason whatsoever, even partially, elements of the site, whether in the form of a photo, logo, visual or text.

 

Article 15: Personal data

The AEROBACHE company undertakes to preserve the confidentiality of the information provided by the buyer, which he may be required to transmit for the use of certain services. Any information concerning him is subject to the provisions of law no. 78-17 of January 6, 1978. As such, the Internet user has the right to access, modify and delete information concerning him. Article 16: Competent court

Any dispute relating to the interpretation and execution of these general conditions of sale is subject to French law.

In the absence of an amicable resolution, the dispute will be brought before the Ajaccio Commercial Court.
